Terms of Service

These Terms of Service ("Terms") govern your use of fundermatch.io and the FunderMatch platform (the "Service") operated by FunderMatch LLC ("FunderMatch", "we", "us"). By using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

FunderMatch is a business funding marketplace. We provide tools that let businesses build a profile, receive AI-powered lender matches, compare lenders and funding partners, and connect with the partners they choose. We also provide funding partners with tools to publish a profile, set criteria, receive matched businesses and manage applications.

FunderMatch is not a lender, broker of record, or financial advisor. We do not make credit decisions, guarantee approval, or set the rates, fees or terms of any financing. Any financing is provided under a separate agreement between you and the funding partner. See our Disclosure.

• You must be at least 18 years old and using the Service for business purposes.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• Information you provide must be accurate, current and complete. Matches are only as good as the profile behind them, and knowingly providing false information may result in suspension.

• Requesting matches authorizes FunderMatch to share your profile and any application information with the funding partners you choose to engage.
• A match is an indication of likely fit, not an offer, approval, pre-approval or guarantee of funding.
• You are solely responsible for evaluating any offer, reading the funding partner's agreement and deciding whether to accept it.
• Any dispute about financing, including its cost, terms, servicing or collection, is between you and the funding partner.

• Partners must provide accurate products, criteria and contact information and keep them current.
• Partners may use business information received through the Service only to evaluate and respond to that business's request, and must handle it in accordance with applicable law and their own privacy policy.
• Partners are solely responsible for complying with all laws that apply to their financing, including licensing, disclosure, fair lending and marketing requirements.
• FunderMatch may review, flag, suspend or remove partner profiles at its discretion, including based on quality checks, reviews or complaints.
• Any commercial terms between FunderMatch and a partner are set out in a separate partner agreement.

You may post reviews, messages and other content. You retain ownership of your content and grant FunderMatch a non-exclusive, worldwide, royalty-free license to host, display and distribute it in connection with the Service. You agree that your content is truthful, based on your own experience, and does not infringe others' rights or contain confidential information. We may moderate, edit for format or remove content that violates these Terms.

You agree not to: use the Service for any unlawful purpose; submit false or misleading information; scrape, copy or harvest data from the Service except as permitted; interfere with the Service or its security; impersonate any person or business; or use the Service to send unsolicited communications.

The Service, including its software, design, text, graphics, matching technology and the FunderMatch name and logo, is owned by FunderMatch or its licensors and is protected by intellectual property laws. You may use the Service only as permitted by these Terms.

The Service is provided "as is" and "as available." To the fullest extent permitted by law, FunderMatch disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that matches will result in funding, that lender information is complete or current, or that the Service will be uninterrupted or error-free. Content on the Service is general information, not financial, legal or tax advice.

To the fullest extent permitted by law, FunderMatch and its owners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or related to the Service or any financing obtained through a funding partner. Our total liability for any claim relating to the Service will not exceed one hundred dollars ($100) or the amount you paid us in the twelve months before the claim, whichever is greater.

You agree to indemnify and hold harmless FunderMatch from claims, losses and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, your violation of these Terms or, for funding partners, your financing activities.

You may stop using the Service at any time. We may suspend or terminate access to the Service at any time for violation of these Terms or to protect the Service or its users. Sections that by their nature should survive termination, including disclaimers, limitation of liability, indemnification and governing law, will survive.

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in New York, and you consent to their jurisdiction. Nothing in this section limits any rights you may have under applicable law that cannot be waived.

We may update these Terms from time to time. Updated Terms will be posted here with a new effective date, and your continued use of the Service after that date constitutes acceptance. Questions about these Terms can be sent to legal@fundermatch.io.
